These Terms & Conditions ("Terms") govern your use of Siftii (the "Service"), operated by Spark Spoon LLC ("we", "us", "our"). By creating an account or otherwise using the Service, you agree to these Terms.

1. The Service

Siftii provides software tools for home and cottage-food bakers — recipe costing, pricing, market planning, customer orders, and related features.

2. Eligibility & accounts

You must be of legal age in your jurisdiction to enter into a binding contract, and (if applicable) have authority to bind the business you represent. You are responsible for the accuracy of the information you provide and for keeping your account credentials confidential. You are responsible for activity that occurs under your account.

3. Acceptable use

You agree not to misuse the Service. In particular, you must not:

  • use the Service for any unlawful purpose, or send fraudulent or unsolicited communications;
  • infringe the intellectual property, privacy, or other rights of others;
  • attempt to interfere with the security or integrity of the Service, including by introducing malware, probing, scanning, or scraping;
  • reverse engineer, resell, or redistribute the Service except as expressly permitted.

4. Intellectual property

Siftii and its content (software, design, documentation, branding) are owned by us or our licensors and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service within your chosen plan. You retain ownership of the content you submit; you grant us a limited license to host and process it solely to provide the Service.

5. Payments, billing, and subscriptions

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. For payment, billing, taxes, cancellations, and refunds, please also refer to Paddle's Buyer Terms at https://www.paddle.com/legal/checkout-buyer-terms.

Subscriptions renew automatically at the end of each billing period unless cancelled. You can cancel at any time from your account; cancellation takes effect at the end of the current billing period.

6. Service availability

We work hard to keep Siftii available and reliable, but we do not guarantee that the Service will be uninterrupted or error-free. We may modify, suspend, or discontinue features from time to time.

7. Suspension and termination

We may suspend or terminate your access to the Service if you materially breach these Terms, fail to pay amounts due, present a security or fraud risk, or repeatedly violate our policies. On termination, you may export your data for a reasonable period before it is deleted.

8. Disclaimers

To the fullest extent permitted by law, the Service is provided "as is" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. Information in the Service (including pricing suggestions, cottage-law summaries, and educational content) is general guidance — not legal, tax, or financial advice. You are responsible for verifying compliance with the laws that apply to your business.

9. Limitation of liability

To the fullest extent permitted by law, our aggregate liability arising out of or related to the Service is limited to the fees you paid us in the twelve months preceding the event giving rise to the claim. We are not liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill. Nothing in these Terms limits liability for fraud, death, or personal injury where such limitation is not permitted by law.

10. Indemnity

You agree to indemnify and hold us harmless from claims arising out of your content, your unlawful use of the Service, or your breach of these Terms.

11. Changes

We may update these Terms from time to time. Material changes will be communicated through the Service or by email. Continued use of the Service after changes take effect constitutes acceptance.

12. Governing law

These Terms are governed by the laws of the jurisdiction in which Siftii is established, without regard to conflict-of-law rules. Disputes will be resolved in the competent courts of that jurisdiction.
